GRANT OF LICENSE.
phpListings.com grants to You a non-exclusive, non-transferable right to install ONE copy of the Software on ONE internet domain name.
You may make backup and/or archival copies of the Software as necessary. Each copy must include all original copyright and other proprietary rights notices.
All rights not specifically granted in this license are reserved by phpListings.com.
RESTRICTED USE.
You may not share, rent or lease Your right to use the Software.
You may not modify, sublicense, copy, rent, sell, distribute any part of the Software.
You may not reverse engineer, decompile, decrypt, disassemble, create derivative copies of the Software or any part of the Software.
You may not disable any licensing or control features of the Software.
You may not use the Software for any unlawful purpose.
UPGRADES.
Your use of the Software upgrade is a subject to these Terms.
The upgrade is provided to You on a license exchange basis. You agree to voluntarily terminate Your pervious license and not use the previous version of the Software after installing the upgrade.
LIFECYCLE POLICY.
The Software major version support lifecycle begins on the release date and lasts for a minimum of two years. No support and critical patches are available for the version that reached End of Life date.

WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SOFTWARE.
LIMITATION OF LIABILITY.
THIS LIMITATION OF LIABILITY IS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT WILL PHPLISTINGS.COM OR ITS DIRECTORS, EMPLOYEES, AFFILIATES, CONSTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SOFTWARE OR ANY OTHER SOFTWARE AND/OR CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SOFTWARE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY WILL BE LIMITED TO THE AMOUNT YOU PAID TO PHPLISTINGS.COM.
You agree to defend, indemnify and hold us harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees, costs, penalties, interest and disbursements) we incur in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party relating to Your use of the Software or the use of the Software by any person using your account, including any claim that Your use of the Software violates any applicable law or regulation, or the rights of any third party, and/or Your violation of these Terms.
GOVERNING LAW.
The valididy of these Terms and the rights, obligations, and relations of the parties under these Terms will be construed and determined under and in accordance with the laws of Ukraine, without regard to conflicts of law principles.
TERMINATION.
You may terminate these Terms at any time by sending us a notification that You no longer wish to use the Software.
If You breach any of these Terms we have the right to suspend or terminate Your Software license.
ENTIRE AGREEMENT.
These Terms constitute the entire agreement between You and phpListings.com regarding the use of the Software, superseding any prior agreements between You and phpListings.com relating to Your use of the Software.
